Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sunny, an AI-powered mindfulness and self-reflection companion delivered via the Telegram messaging platform (the "Service").

By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. Who we are

In these Terms, "we", "us", and "our" refer to the controller above. "You" and "your" refer to the user of the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you confirm that you are 18 or older.

The Service is intended for individuals using it for personal purposes. Use of the Service in a commercial, professional, or therapeutic capacity is not authorised under these Terms.

3. The Service

Sunny is an informational self-help tool based on structured reflection algorithms. It provides reflection prompts, structured exercises, and conversational support intended for general wellness and emotional clarity.

3.1 What Sunny is NOT

Sunny is NOT:

The tool does not make medical, psychological, or therapeutic judgments about you. It provides reflection prompts based on your voluntary input.

You agree that you use Sunny voluntarily, with full understanding of these limitations, and accept that Sunny's responses are not a substitute for any form of professional consultation.

4. Account and access via Telegram

The Service is accessed through the Telegram messaging platform. Your interaction with the Service is associated with your Telegram chat identifier (chat_id).

Telegram operates as an independent platform. You are responsible for the security of your Telegram account. If your Telegram account is compromised, the Service cannot distinguish between you and an unauthorised user.

If you share your Telegram account with others (for example, a family device), you acknowledge that all interactions with the Service from that account are treated as a single user.

5. Pricing and billing

5.1 Free tier

You may use the Service free of charge for 3 days per calendar month. Access automatically resets at the start of each calendar month.

5.2 Paid subscriptions

Prices include all applicable taxes calculated and remitted by our payment processor (merchant of record). The price you pay depends on your billing location.

5.3 Recurring billing and auto-renewal

Paid plans are recurring subscriptions. By subscribing, you authorise our payment processor to charge your payment method automatically at the end of each billing cycle (every 30 days for Basic, every 90 days for Plus) at the price in effect at the time of renewal, until you cancel.

We will send you a reminder email before each renewal where required by applicable law. If we change the subscription price, we will notify you in advance and you may cancel before the new price takes effect.

5.4 How to cancel

You may cancel your subscription at any time, effective at the end of the current billing cycle, through:

Cancellation stops future charges. You retain access for the remainder of the cycle you have already paid for. No partial refund is issued for the current cycle unless required by applicable consumer law (see Refund Policy).

5.5 Payments

Payments are processed by our payment provider, which acts as the merchant of record for the transaction. You contract with the payment provider for the purchase, and with us for the underlying service. Refunds and billing-related questions are handled jointly by us and the payment provider.

5.6 Waiver of withdrawal right

For digital content delivered immediately, at checkout you may waive your statutory 14-day right of withdrawal in exchange for immediate access to the Service. This waiver is documented through a confirmation email (durable medium) you receive after purchase. By confirming the waiver, you acknowledge that you cannot subsequently claim a refund based on the cooling-off period for the activated service.

7. AI nature and automated decisions

Sunny is powered by artificial intelligence. You acknowledge that you are interacting with an AI system, not a human.

We use automated analysis of your input to adapt the Service's response pattern (for example, switching from analytical conversation to grounding exercises if elevated stress is detected). For details and your rights regarding such automated decisions, see our Privacy Policy.

8. Intellectual property

8.1 Our content

The Service, including its prompts, structure, methodology, code, and all associated content, is our property or licensed to us. You may not copy, modify, distribute, or create derivative works based on the Service or its content without our written authorisation.

8.2 Your content

You retain ownership of the content you submit to the Service (your messages, voice inputs, and responses to prompts). By submitting content, you grant us a limited licence to process that content solely for the purpose of providing the Service to you and complying with applicable law, as described in our Privacy Policy.

8.3 Outputs

The Service generates responses based on your input. Such outputs are provided to you for personal use. We make no claims of ownership over the outputs you receive.

9. Termination

9.1 Termination by you

You may stop using the Service at any time. To delete your data, follow the procedure described in our Privacy Policy. No refund will be issued for the unused portion of your subscription unless required by applicable consumer law (see Refund Policy).

Termination by either party does not affect rights or obligations accrued prior to termination, including payment obligations and our obligation to retain certain records as required by law.

10. Disclaimers and limitations of liability

10.1 Service "as is"

The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.2 No guarantee of outcomes

The Service provides reflection prompts and structured exercises. We make no guarantees about the outcomes you may experience. Individual results vary.

10.3 Limitation of liability

To the maximum extent permitted by applicable law, our total liability to you for all claims arising out of or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

This limitation does not apply to liability that cannot be excluded under applicable law, including but not limited to liability for gross negligence, wilful misconduct, or personal injury caused by our negligence.

We may modify, suspend, or discontinue the Service or any part of it at any time. We will provide reasonable notice of material changes that adversely affect your subscription, where possible.

We may update these Terms from time to time. The version number and effective date at the top of this document indicate the current version. Material changes (changes that affect your rights or obligations) will be communicated through the bot and/or via the email address you have used to contact us.

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing law and dispute resolution

These Terms are governed by the laws of the Kingdom of Spain, without regard to its conflict-of-law provisions.

Any disputes arising from these Terms or your use of the Service will be resolved exclusively in the courts of Barcelona, Spain.

If you are an EU consumer, this clause does not deprive you of the mandatory consumer protections of your country of habitual residence.

14. Language and translations

These Terms are provided in English and Russian. The English version is authoritative. A translation into Russian is provided for convenience and titled «Публичная оферта на оказание услуг» (Public Offer for the Provision of Services).

In case of any discrepancy or conflict between the English and Russian versions, the English version shall prevail.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16. Entire agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.
